Terms of Service

Last updated: August 27, 2026

These Terms of Service (“Terms”) govern your use of SponsorKit, a sponsorship and brand-deal management service operated by Maine Winters LLC (“Company”, “we”, “our”, or “us”). By creating an account you agree to these Terms. If you do not agree, do not use SponsorKit.

1. What SponsorKit is

SponsorKit is a customer relationship tool for creators. It tracks brand deals from first inquiry through to final invoice, and provides rate cards, invoicing, reminders and analytics.

It is a record-keeping and workflow tool. We are not a party to any agreement between you and a brand, we do not broker deals, and we do not guarantee that you will be paid. Chasing an unpaid invoice is between you and the brand.

2. Eligibility

You must be at least 18 years of age and able to form a binding contract. You must provide accurate information and keep it current. One account per person or business entity.

3. Your account

Accounts are authenticated through Clerk. You are responsible for activity under your account and for keeping your credentials secure. Tell us promptly at [email protected] if you believe your account has been compromised.

4. Subscriptions and billing

SponsorKit offers a free plan and paid monthly subscription tiers. Paid plans are billed monthly in advance. Payment is processed by Stripe; we never see or store your full card number.

Subscriptions renew automatically each month until cancelled. You may cancel at any time from your account settings, and access continues to the end of the period you have already paid for. Fees already paid are non-refundable except where required by law. We may change pricing on notice, effective at your next renewal.

5. Your content and your data

Deals, brand records, rate cards, invoices, notes and files you put into SponsorKit remain yours. You grant us a limited licence to store, process, transmit and display that content solely to operate the service for you, including generating PDFs and sending invoices and reminders on your instruction. That licence ends when you delete the content or your account, except where we must retain something to comply with the law.

You are responsible for what you upload and for having the right to use it. Do not upload material you do not have the right to share, and do not upload another party’s confidential information in breach of an agreement with them.

6. Acceptable use

You may not use SponsorKit to:

  • send unsolicited bulk email;
  • misrepresent your audience, reach or performance to a brand;
  • store unlawful material;
  • interfere with, probe, or place unreasonable load on our systems;
  • access the service by any means other than our own apps and interfaces; or
  • resell or sublicense access.

7. Our intellectual property

SponsorKit, and everything we made that you encounter through it, belongs to Maine Winters LLC: the software, the designs, the copy, the templates, and the SponsorKit name and logo. All of it is protected by copyright, trademark and trade secret law. Your content stays yours, as described above.

We grant you a personal, revocable, non-exclusive, non-transferable licence to use SponsorKit for managing your own sponsorships. That is the whole licence. In particular you may not:

  • copy, modify, translate or make derivative works from any part of SponsorKit;
  • reverse engineer, decompile or disassemble it, or attempt to derive our source code or the design of our systems by any means;
  • scrape, crawl, harvest or bulk-collect data from it;
  • use SponsorKit, or anything you take from it, to build, train or improve a competing product or any machine learning model;
  • frame, mirror or resell it, or remove any copyright or trademark notice.

These restrictions survive the end of your account.

8. Copyright and DMCA

We respect copyright. If you believe material stored on SponsorKit infringes a copyright you own or control, send a written notice to our designated agent. To be effective under 17 U.S.C. § 512(c)(3) it must include your signature, identification of the work you say has been infringed, identification of the material you are complaining about with enough detail for us to find it, your address, telephone number and email address, a statement that you have a good faith belief the use is not authorised, and a statement under penalty of perjury that your notice is accurate and that you are the copyright owner or authorised to act for them.

  • Telephone: (207) 451-0078
  • Email: [email protected]
  • U.S. Copyright Office designation: DMCA-1070772

If your material was removed and you believe that was a mistake or a misidentification, you may send a counter-notice to the same agent, containing your signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good faith belief it was removed by mistake, your name, address and telephone number, and your consent to the jurisdiction of the federal court for your district (or, if you are outside the United States, the District of Maine).

We terminate, in appropriate circumstances, the accounts of repeat infringers. Under 17 U.S.C. § 512(f), anyone who knowingly misrepresents that material is infringing, or that it was removed by mistake, is liable for damages.

9. Disclaimer of warranties

SponsorKit is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted or error-free. Invoices, reminders and analytics are tools to assist you; you are responsible for reviewing them before relying on or sending them.

10. Limitation of liability

To the fullest extent permitted by law, Maine Winters LLC is not liable for indirect, incidental or consequential damages, or for lost profits, lost deals or unpaid invoices, arising from your use of SponsorKit. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

11. Termination

You may delete your account at any time from settings. We may suspend or terminate an account that breaches these Terms. On termination your right to use the service ends; you may export your data before deleting, and we will delete stored content as described in our Privacy Policy.

12. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new “last updated” date, and where the change affects your rights we will also notify you by email.

13. Governing law

These Terms are governed by the laws of the State of Maine, United States, without regard to its conflict of laws rules. Any disputes shall be resolved in the courts of Maine.
